On February 28 at noon, The Public Interest Law Section, Nonprofit Law Working Group will offer essential information for lawyers and others who serve as board members at a nonprofit organization or those who wish to serve a nonprofit board in the future. The Nonprofit Law Update 2019 Webinar will feature two attorneys and an accountant all who have experience at both large and grassroots organizations in a variety of different disciplines. 


This training  will focus on: 

·       Overview of board responsibilities, duty of care and duty of loyalty

·       Understanding common corporate formalities issues, including proxy voting and voting by email

·       The importance of an independent board of directors

·       Updates to financial standards and reporting best practices 

·       Review of the Florida Solicitation of Contributions Act and common compliance issues 


**Lawyers who attend will receive 1 hour of continuing legal education (CLE) credit.

ABOUT THE PRESENTERS                                   

Philip DiComo, Esquire, Haile Shaw & Pfaffenberger

Mr. DiComo serves as outside counsel to businesses, entrepreneurs and non-profit institutions. He concentrates his practice in the area of emerging companies and general corporate law, including non-profit organizations.  Mr. DiComo’s representation of exempt organizations ranges from serving as outside general counsel providing guidance on a broad range of governance matters as well as business and donor agreements, to reviewing commercial co-venture arrangements, joint ventures and strategic partnerships to guiding non-profit mergers and other complex transactions. Mr. DiComo previously was associated with national law firm Edwards Angell Palmer & Dodge LLP (now Locke Lorde LLP), where he practiced in the areas of corporate, securities and private equity. Prior to his law practice, Mr. DiComo had more than 15 years of communication, fund development and management experience in both the for-profit and not-for-profit sectors. Mr. DiComo has an extensive background in the public broadcasting industry, and served as a Vice President for a regional public radio and television station. During his tenure Mr. DiComo garnered the station's initial million dollars in grant funding for the transition to digital television broadcasting. He also previously served as Director of Marketing and Development for the Diabetes Research Institute Foundation at the University of Miami School of Medicine.  Mr. DiComo, a member of the Florida Bar, serves as a director and vice chair of the board of Nonprofits First, Inc., an organization dedicated to building capacity in the non-profit sector, and as a director of the Palm Beach County Cultural Council. He also serves as a member of the American Bar Association’s Non-Profit Law Subcommittee. Mr. DiComo earned the Chartered Advisor in Philanthropy designation from the Richard D. Irwin Graduate School of the American College. Mr. DiComo is the recipient of the 2004 Non-Profit Law Award from the Legal Aid Society of Palm Beach County, and is a member of the Leadership Palm Beach County Class of 2012.  Mr. DiComo received his undergraduate degree with high honors from the University of Florida College of Journalism and Communications, and worked as a full time executive while attending Nova Southeastern University's evening law program, from which he graduated summa cum laude. 


Jeffrey Fromknecht, MSW, Esquire, Side Project Inc. 

Jeff is a lawyer, author, and speaker who has a passion for helping others. He is the co-founder and Managing Attorney of Side Project Inc. Jeff is licensed to practice law in both Pennsylvania and Florida. He holds graduate degrees in both social work and law and has more than 18 years of experience working at nonprofit organizations in a variety of direct-service and management roles. Side Project Inc. (SPI) is a 501(c)(3) nonprofit organization whose mission is to promote social justice and social change by incubating and developing grassroots projects. Since 2012, SPI has helped hundreds of grassroots nonprofit organizations establish a strong foundation by helping them with legal and operational challenges. SPI provides legal and operational support to grassroots projects, nonprofit organizations, charitable foundations, and corporate and individual philanthropy. Our services focus on developing socially-minded ideas into sustainable projects that have a positive impact on the community. .Jeff oversees the nonprofit incubator program, the charitable compliance service division, and the nonprofit legal practice area. His work focuses on the corporate, tax and fundraising compliance issues that tax exempt nonprofits face. He provide resources, training, and legal guidance to nonprofit leaders and social change agents as they try to navigate the rules, regulations and laws impacting their work. He also manages the Side Project Action & Advisory Committee, the SPI volunteer corps.  Jeff is an active member of the Florida Bar’s Public Interest Law Section (PILS) and serves on the PILS Executive Committee.  He is the current chair of the section’s Nonprofit Law Working Group. 


Henry Martin, Daszkal Bolton LLP

Henry Martin, CPA, is a audit and assurance director at Daszkal Bolton with over 12 years of experience in public accounting. He provides audit and assurance services to privately owned businesses, public companies and nonprofit organizations including Government Auditing Standards, Uniform Guidance and Florida Single Audit Act. His breadth of assurance services spans many areas including audit, review and compilation services. Currently Henry serves clients across various industries including manufacturing and distribution, construction, technology and durable medical equipment. His experience includes organizations with international operations giving Henry the ability to assist organizations with global audits, foreign currency translation, currency hedging and global consolidations. Henry is a valuable resource to his clients showing them best practices in complying with relevant regulatory requirements, helping them to identify key internal control matters and exceeding their expectations in reporting objectives. Henry is also able to assist with the reporting and disclosure requirements that are unique to her client’s industries. Henry graduated from Florida Atlantic University with a Bachelor of Science in Accounting and Nova Southeastern University with a Masters of Accounting. Henry is a member of the Florida Institute of Certified Public Accountants (FICPA) and the American Institute of Certified Public Accountants (AICPA).
